1. Acceptance of Terms
By accessing or using CollabFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use CollabFlow.
2. Eligibility
You must be at least 13 years of age to use CollabFlow. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's consent to use the Service.
3. User Accounts
- You may create an account using email/password or through a third-party OAuth provider (Google or Twitch).
- You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
- You must provide accurate and complete information when creating your account and keep your profile information up to date.
- You must notify us immediately if you become aware of any unauthorized use of your account.
- You may not create multiple accounts for deceptive purposes or to circumvent platform limits.
4. Subscriptions and Billing
- CollabFlow offers a free tier and a paid "Pro" subscription with additional features and higher limits.
- All payments are processed by Paddle, our payment provider. By subscribing to Pro, you also agree to Paddle's Terms of Service.
- Pro subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.
- You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period — you will retain access to Pro features until then.
- Refunds are handled in accordance with Paddle's refund policy and applicable consumer protection laws.
- We reserve the right to change pricing with reasonable advance notice. Price changes will apply at the start of your next billing cycle following the notice period.
5. User Content
- Ownership: You retain full ownership of all content you create, upload, or share through CollabFlow, including profile information, pitches, workspace content, files, and messages.
- License to CollabFlow: By posting content on the Service, you grant CollabFlow a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your content solely for the purpose of operating and providing the Service. This license terminates when you delete your content or account.
- Public content: Your creator profile (including username, display name, avatar, bio, niche tags, and audience metrics) is publicly visible. You are responsible for any information you choose to make public.
- Responsibility: You are solely responsible for the content you post, including its legality, reliability, and appropriateness. You represent that you have all necessary rights to the content you share.
6. Collaboration and Workspaces
- CollabFlow is a platform that facilitates connections and collaboration between creators. We provide tools including pitching, workspaces, real-time messaging, file sharing, and casting boards.
- No agency relationship: CollabFlow acts solely as a platform to connect creators. We are not a party to any agreements, financial arrangements, or contracts established between collaborators.
- No guarantee: We do not guarantee any outcomes from collaborations, including but not limited to the quality of work, adherence to timelines, or financial compensation between parties.
- Disputes between users: Any disputes arising between collaborators are the sole responsibility of the parties involved. CollabFlow is not liable for and has no obligation to mediate or resolve such disputes.
7. Acceptable Use
You agree not to use CollabFlow to:
- Violate any applicable law, regulation, or third-party rights.
- Post content that is defamatory, obscene, harassing, threatening, or otherwise objectionable.
- Impersonate another person or entity, or misrepresent your affiliation, audience metrics, or credentials.
- Distribute spam, unsolicited pitches in bad faith, or bulk automated messages.
- Upload files containing malware, viruses, or other harmful code.
- Attempt to gain unauthorized access to other users' accounts, data, or private workspaces.
- Scrape, crawl, or use automated means to extract data from the platform without prior written consent.
- Circumvent or attempt to circumvent subscription tier limits, rate limits, or other platform restrictions.
- Use the platform for any illegal activity or to facilitate illegal transactions.
8. Intellectual Property
The CollabFlow platform — including its name, logo, design, source code, features, and functionality — is the exclusive property of CollabFlow and its licensors. It is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform without our express written permission.
9. Copyright and DMCA
We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied or made available on CollabFlow in a way that constitutes copyright infringement, please contact us at legal@collabflow.app with the following information:
- A description of the copyrighted work you claim has been infringed.
- The URL or location of the infringing material on CollabFlow.
- Your contact information (name, email, address).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
10. Account Suspension and Termination
- We may suspend or terminate your account at our sole discretion if you violate these Terms, engage in abusive behavior, or for any other reason we deem necessary to protect the platform and its users.
- If your account is suspended, you will be notified and may have the opportunity to resolve the issue. Terminated accounts may not be recoverable.
- Voluntary deletion: You may delete your account at any time from your profile settings. Account deletion is subject to a 30-day grace period, during which you may cancel the deletion by logging back in. After 30 days, your account and associated data are permanently removed.
- Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive (including Sections 5, 6, 8, 11, 12, and 13).
11. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free. We make no warranty regarding the quality, accuracy, timeliness, or completeness of any content on the platform, including user-submitted profiles, audience metrics, or collaboration outcomes.
12. Limitation of Liability
To the maximum extent permitted by applicable law, CollabFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Service — regardless of the theory of liability (contract, tort, or otherwise), even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising from or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the use of the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration or the applicable courts in the jurisdiction where CollabFlow operates.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of CollabFlow after any changes constitutes acceptance of the new Terms. If you do not agree with the updated Terms, you must stop using the Service.
